Areas of Practice
Buy-Side Advisory
Our buy-side advisory process begins with understanding your core business model and then determining what advantages and areas of growth can be achieved most effectively through strategic acquisitions. Our process will also explore the integration challenges and capabilities of your team to successfully execute such a growth strategy.
Our buy-side process includes:
Strategy development
Target identification and contact
Offer development and valuation
Negotiation of terms and conditions
Sell-Side Advisory
Preparation and success go hand in hand when selling a business. Our sell-side advisory process begins with preparing your business for sale. A business that has prepared for a sale will attract greater buyer interest, withstand the rigors of due diligence, close in a shorter period of time and have a greater chance to bring a premium valuation.
We take the time to understand all of the stakeholder wants and needs from a transaction to ensure that we prepare for and position the company for the type of transaction, buyers/partners, and deal structure that will meet the transaction objectives of the stakeholders.
Our sell-side advisory transaction expertise includes:
Majority and minority sales
Sales to strategic buyers
Sales to private equity and family offices
Equity and debt recapitalizations
Generational transfers
Sales to management teams (MBO) and employees (ESOP)
Capital Formation
As a company progresses through the business life cycle, the capital needs of that business and its stakeholders continue to change and evolve. The capital structure of a start-up is going to look very different from an established company that has been in business for ten years. Likewise, as a company grows larger and its business becomes more complex, the equity partners and lenders who supported the company in the early growth stage may not add the value and support needed at maturity.
Our capital formation services can help business owners explore capital structure issues and introduce new financial partners who understand their business and can help the business continue to grow and compete in larger markets. Alternatively, when the business is performing poorly, an entirely different group of lenders and investors may be needed for the company to restructure, stabilize operations, and rebound. We can advise business owners in those situations as well.
Business Valuation
We provide business valuations which may be used for exit planning and transactional purposes. If you require a certified valuation report for tax or litigation purposes, we can refer you to a number of qualified firms who provide those services.
Our business valuation services provide an in-depth analysis of your business and use multiple valuation methodologies including the market approach and income approach. Having a business valuation performed is an effective tool for business owners to explore and plan for potential ownership transitions as well as evaluate offers provided by acquirers.
